Terms of Sale and License Terms
1. Seller
These terms govern the relationship between the seller and the customer when a subscription to the Locaflip app is purchased. The seller is:
- Matěj Kmoch
- Email: support@locaflip.com
The customer is any natural or legal person who orders a subscription. A consumer is a customer who, when concluding the contract, is acting outside the scope of their trade, business or profession. The provisions on consumer rights apply only to consumers.
2. Subject of the contract
The subject of the contract is the provision of a time-limited license to use the Locaflip app for macOS (the “app”) on a subscription basis, together with the related updates for as long as the subscription lasts. The app is digital content supplied electronically, not on a tangible medium.
The app sets a simulated location on an iPhone connected to a Mac using Apple’s developer services. Its operation depends on third-party devices and software (macOS, iOS), whose requirements are listed in the Requirements section of the website.
3. Ordering and conclusion of the contract
You order a subscription on the website by choosing a plan and completing the order on the Stripe payment page. The contract is concluded when the order is confirmed. We show the license key on the confirmation page and send it by email together with confirmation that the contract has been concluded.
The contract is concluded in English or in Czech. If you order from the Czech version of the website, the Czech version of these terms applies; in all other cases, the English version applies. These terms are permanently available on this page; we recommend that you save or print them.
4. Price and payment
Current prices of the individual plans are listed in US dollars (USD) in the pricing section of the website. Depending on where you live or are established, value-added tax or a similar tax may be added to the price; it is calculated on the payment page when you order. You will see the final price, including any tax, before you confirm your order.
You pay by card or another method offered on the Stripe payment page. Card details are processed exclusively by Stripe; the seller has no access to them. If your payment method is held in a currency other than USD, your bank or card issuer may charge a currency conversion fee.
Invoices and receipts are available in the Stripe customer portal (the Manage subscription page) and are sent by email.
5. Free trial
The subscription may include a free trial of the length stated in the pricing (7 days). The free trial is available only once per person, once per payment card and once per Mac. You enter a payment method when you order, but you are not charged anything during the trial.
If you do not cancel the subscription before the trial ends, it automatically becomes a paid subscription, and the first payment is taken on the day the trial ends. If you cancel during the trial, you pay nothing.
If we detect that a free trial has already been used (for example with the same email address, the same payment card or on the same Mac), the free trial is not available. In that case, you can start the paid subscription immediately; the first payment is taken when you start it.
6. Subscription and renewal
The subscription is concluded for an indefinite period and is billed per period of the chosen plan — monthly, or yearly if a yearly plan is offered in the pricing. It renews automatically at the start of each period, and the price for the next period is charged to your chosen payment method until you cancel the subscription.
If a payment cannot be made, access to the app may be suspended until the payment is settled.
We will inform you of any price change by email at least 30 days before it takes effect. The new price applies only from the next period; if you do not agree with it, you can cancel the subscription before then.
7. Cancelling your subscription
You can cancel your subscription at any time on the Manage subscription page (Stripe customer portal) or by email to the seller. Cancellation takes effect at the end of the current paid period; until then, you can continue to use the app. The price for the remaining part of the period is not refunded unless the law provides otherwise.
8. Right of withdrawal
A consumer residing in the European Union has the right to withdraw from a contract concluded at a distance within 14 days of its conclusion without giving any reason (Directive 2011/83/EU; Section 1829 of the Czech Civil Code).
The app is digital content not supplied on a tangible medium. Under Article 16(m) of Directive 2011/83/EU (Section 1837 of the Czech Civil Code), the consumer cannot withdraw from the contract once the supply of digital content has begun, before the withdrawal period expires, with the consumer’s prior express consent and acknowledgement that they thereby lose the right of withdrawal. When you order, you therefore tick a required checkbox on the payment page to expressly request that performance begin immediately after the contract is concluded (by making the license key available), and to acknowledge that you thereby lose your right of withdrawal. We will confirm this consent to you by email.
If you do not give this consent, or if you have a right of withdrawal for any other reason, you can withdraw from the contract by email to the seller, stating your license key or the email address used for the order. We will refund payments received within 14 days of your withdrawal, using the same means of payment you used.
Consumers outside the European Union may have rights to withdraw from or cancel the contract under the mandatory laws of their country of residence; those rights are not affected.
9. Scope of the license
For the duration of the subscription (including the free trial), you receive a non-exclusive, non-transferable license to use the app. One license key can be activated on at most 2 Mac computers at the same time, used by you or, for business customers, by one of your employees. You can deactivate a Mac you no longer use from within the app.
You may not resell, rent out, share with third parties or otherwise transfer the license or the license key. You may not modify or decompile the app or circumvent its license protection, except where the law expressly permits it. Details are set out in the End User License Agreement.
When the subscription ends, the license ends and the app stops working.
10. Acceptable use
The app is intended for developing and testing apps, for presentations, and for protecting privacy. You are responsible for how you use it. You must use it in compliance with the law and with the terms of the apps and services you use it with.
In particular, you may not use the app for fraud, to deceive other people, for harassment, to gain an unfair advantage, or to infringe the rights of third parties. In the event of a serious breach of these rules, we may terminate the license; this does not affect your statutory rights as a consumer.
11. Rights in case of defects
The seller is responsible for ensuring that, for the duration of the subscription, the app has the characteristics described on the website and in this contract, to the extent required by law for the supply of digital content (for consumers in the EU, in accordance with Directive (EU) 2019/770 and the Czech Civil Code). You can report a defect by email to the seller. We will handle your complaint without undue delay and within 30 days at the latest.
The app relies on Apple’s developer services, which may change in future versions of macOS or iOS. We will make every effort to adapt the app. Beyond your statutory rights, we do not guarantee that the app will be suitable for every particular purpose or device.
12. Liability
The seller is not liable for damage resulting from use of the app in breach of these terms, the law, or the terms of third-party services, nor for the consequences of decisions that other apps make based on a simulated location.
Toward customers who are not consumers, the seller’s liability for damage is limited to the amount paid for the subscription in the last 12 months. This limitation does not apply to harm to a person’s natural rights (such as life and health), to damage caused intentionally or through gross negligence, or to other cases in which the law does not permit such a limitation. Consumer rights that cannot be limited by contract remain unaffected.
13. Complaints, dispute resolution and supervision
We handle complaints and defect claims by email. Consumers have the right to out-of-court resolution of consumer disputes. The competent body is the Czech Trade Inspection Authority (Česká obchodní inspekce), Štěpánská 567/15, 120 00 Prague 2, Czech Republic, adr.coi.cz. Consumers from other EU countries can also contact the European Consumer Centre in their country.
The European Online Dispute Resolution (ODR) platform was discontinued as of July 20, 2025; disputes arising from contracts concluded online can be resolved through the out-of-court dispute resolution body named above.
Compliance with the seller’s obligations is supervised by the Czech Trade Inspection Authority (www.coi.cz), in the area of personal data protection by the Office for Personal Data Protection, and within the scope of the trade license by the competent trade licensing office.
14. Final provisions
The contract is governed by the laws of the Czech Republic. If the customer is a consumer habitually resident in another country, this does not affect the protection afforded to them by the mandatory consumer protection provisions of that country.
We may make reasonable changes to these terms, in particular due to changes in legislation or in the features of the app. We will inform you of any change by email at least 30 days in advance; if you do not agree with the change, you can cancel your subscription before it takes effect.
If any provision is invalid or ineffective, the remaining provisions are not affected.
